Objet.<\/strong> Les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente (les \u00ab CGV \u00bb) r\u00e9gissent les prestations fournies par Be COM Happy (le \u00ab Prestataire \u00bb) \u00e0 tout client professionnel (le \u00ab Client \u00bb). Be COM Happy ne contracte pas avec des consommateurs.<\/p>\n<p><strong>1.2. Contrat particulier.<\/strong> Elles s\u2019appliquent \u00e0 d\u00e9faut de contrat particulier. Lorsqu\u2019un contrat particulier est sign\u00e9 avec un Client, ses stipulations priment sur les pr\u00e9sentes CGV, qui s\u2019appliquent pour tout ce que ce contrat ne r\u00e8gle pas.<\/p>\n<p><strong>1.3. Acceptation.<\/strong> Toute commande vaut acceptation des CGV. Les conditions d\u2019achat du Client ne s\u2019appliquent pas, sauf acceptation \u00e9crite du Prestataire.<\/p>\n<h2 id=\"article-2\"><span class=\"n\">Article 2<\/span>Services<\/h2>\n<p><strong>2.1. Services propos\u00e9s.<\/strong> Le Prestataire propose deux familles de services :<\/p>\n<ul><li><strong>Conseil en marketing et communication<\/strong> : strat\u00e9gie de communication, audit, accompagnement marketing des sites et services num\u00e9riques du Client ;<\/li><li><strong>Campagnes de marketing d\u2019influence<\/strong> : conception de campagnes, s\u00e9lection et briefing de cr\u00e9ateurs de contenus sur les r\u00e9seaux sociaux (Instagram, TikTok, Facebook, X, Telegram, etc.), suivi des publications et des performances via des liens de suivi, r\u00e9mun\u00e9ration des cr\u00e9ateurs et reporting.<\/li><\/ul>\n<p><strong>2.2. Obligation de moyens.<\/strong> Le Prestataire est tenu d\u2019une obligation de moyens. Il ne garantit pas un volume de visibilit\u00e9, d\u2019inscriptions ou de ventes, sauf engagement chiffr\u00e9 express\u00e9ment accept\u00e9 par \u00e9crit.<\/p>\n<h2 id=\"article-3\"><span class=\"n\">Article 3<\/span>Commandes<\/h2>\n<p><strong>3.1. Devis et commande.<\/strong> Chaque prestation fait l\u2019objet d\u2019un devis, d\u2019une proposition ou d\u2019un accord \u00e9crit (un courriel suffit) pr\u00e9cisant la nature des services, la p\u00e9riode, le budget et, le cas \u00e9ch\u00e9ant, le budget allou\u00e9 aux cr\u00e9ateurs.<\/p>\n<p><strong>3.2. Prestations r\u00e9currentes.<\/strong> Pour les prestations r\u00e9currentes, les parties peuvent convenir d\u2019un montant mensuel, fix\u00e9 par \u00e9crit avant chaque p\u00e9riode de facturation. \u00c0 d\u00e9faut d\u2019accord pour une p\u00e9riode donn\u00e9e, le dernier montant convenu s\u2019applique.<\/p>\n<p><strong>3.3. Modification de commande.<\/strong> Toute modification de commande demand\u00e9e par le Client apr\u00e8s son acceptation fait l\u2019objet d\u2019un accord \u00e9crit pr\u00e9alable et, le cas \u00e9ch\u00e9ant, d\u2019un ajustement du prix.<\/p>\n<h2 id=\"article-4\"><span class=\"n\">Article 4<\/span>Mise en \u0153uvre des campagnes et r\u00e9seau de cr\u00e9ateurs<\/h2>\n<p><strong>4.1. Qualit\u00e9 du Prestataire.<\/strong> Le Prestataire agit en son nom propre. Pour ex\u00e9cuter les campagnes d\u2019influence, le Prestataire s\u00e9lectionne, briefe, contractualise et r\u00e9mun\u00e8re lui-m\u00eame les cr\u00e9ateurs de contenus, en son nom et pour son compte. Aucun lien contractuel n\u2019est cr\u00e9\u00e9 entre le Client et les cr\u00e9ateurs.<\/p>\n<p><strong>4.2. Recours \u00e0 des cr\u00e9ateurs ind\u00e9pendants.<\/strong> Le Client accepte express\u00e9ment que le Prestataire fasse appel \u00e0 des cr\u00e9ateurs de contenus ind\u00e9pendants, en France et \u00e0 l\u2019\u00e9tranger, pour r\u00e9aliser les campagnes. Le Prestataire reste seul responsable envers le Client de la bonne ex\u00e9cution des prestations.<\/p>\n<p><strong>4.3. R\u00e9seau de cr\u00e9ateurs.<\/strong> Le r\u00e9seau de cr\u00e9ateurs constitu\u00e9 par le Prestataire, les relations avec ces cr\u00e9ateurs, les grilles tarifaires, les briefs, les mod\u00e8les de messages et les donn\u00e9es relatives aux cr\u00e9ateurs (identit\u00e9, coordonn\u00e9es, historique des collaborations, performances) appartiennent au Prestataire. Le Client n\u2019acquiert aucun droit sur ces \u00e9l\u00e9ments du fait des prestations.<\/p>\n<p><strong>4.4. Non-sollicitation.<\/strong> Pendant la dur\u00e9e de la relation et douze (12) mois apr\u00e8s son terme, le Client s\u2019interdit de contracter directement ou par personne interpos\u00e9e avec un cr\u00e9ateur qui lui a \u00e9t\u00e9 pr\u00e9sent\u00e9 ou qui a r\u00e9alis\u00e9 une campagne pour lui par l\u2019interm\u00e9diaire du Prestataire au cours des douze (12) derniers mois, sauf accord \u00e9crit du Prestataire.<\/p>\n<p><strong>4.5. Suivi.<\/strong> Le Prestataire communique au Client, \u00e0 sa demande, un reporting des campagnes (publications r\u00e9alis\u00e9es, liens de suivi, r\u00e9sultats), sans obligation de lui transmettre les donn\u00e9es personnelles des cr\u00e9ateurs.<\/p>\n<h2 id=\"article-5\"><span class=\"n\">Article 5<\/span>Contenus, conformit\u00e9 et publics majeurs<\/h2>\n<p><strong>5.1. Contenus des cr\u00e9ateurs.<\/strong> Le Prestataire commande aux cr\u00e9ateurs des publications promotionnelles comportant un lien de suivi. Il ne leur demande ni ne r\u00e9mun\u00e8re aucun contenu \u00e0 caract\u00e8re sexuel explicite. Les cr\u00e9ateurs choisissent la forme de leurs publications dans le respect de la loi et des r\u00e8gles des r\u00e9seaux sociaux utilis\u00e9s.<\/p>\n<p><strong>5.2. Engagements des cr\u00e9ateurs.<\/strong> Le Prestataire exige de chaque cr\u00e9ateur qu\u2019il soit majeur, qu\u2019il respecte les r\u00e8gles des r\u00e9seaux sociaux utilis\u00e9s et qu\u2019il signale le caract\u00e8re commercial de ses publications lorsque la loi applicable l\u2019impose (en France, mention \u00ab Publicit\u00e9 \u00bb ou \u00ab Collaboration commerciale \u00bb).<\/p>\n<p><strong>5.3. Plateformes promues.<\/strong> Lorsque les services promus sont r\u00e9serv\u00e9s aux personnes majeures, le Client s\u2019engage \u00e0 mettre en \u0153uvre sur ses services un dispositif de v\u00e9rification de l\u2019\u00e2ge conforme \u00e0 la r\u00e9glementation applicable, emp\u00eachant l\u2019acc\u00e8s des mineurs \u00e0 tout contenu r\u00e9serv\u00e9 aux adultes.<\/p>\n<p><strong>5.4. Responsabilit\u00e9 du Client sur ses services.<\/strong> Le Client garantit que les services, sites et applications dont il demande la promotion sont licites, qu\u2019il d\u00e9tient les droits sur les marques, visuels et contenus qu\u2019il fournit, et que ces \u00e9l\u00e9ments peuvent \u00eatre utilis\u00e9s pour les campagnes. Il garantit le Prestataire contre toute r\u00e9clamation \u00e0 ce titre.<\/p>\n<p><strong>5.5. Refus.<\/strong> Le Prestataire peut refuser ou suspendre toute campagne qu\u2019il estime contraire \u00e0 la loi, aux r\u00e8gles des r\u00e9seaux sociaux ou \u00e0 son image, sans indemnit\u00e9.<\/p>\n<h2 id=\"article-6\"><span class=\"n\">Article 6<\/span>Prix, facturation et paiement<\/h2>\n<p><strong>6.1. Prix.<\/strong> Les prix sont exprim\u00e9s en euros hors taxes ; la TVA au taux en vigueur s\u2019y ajoute. Ils peuvent prendre la forme d\u2019un forfait, d\u2019un montant mensuel ou d\u2019un pourcentage convenu (par exemple, un pourcentage du chiffre d\u2019affaires des services promus).<\/p>\n<p><strong>6.2. Campagnes d\u2019influence.<\/strong> Le prix des campagnes d\u2019influence comprend la conception, la coordination, le suivi et la r\u00e9mun\u00e9ration des cr\u00e9ateurs, que le Prestataire verse en son nom. L\u2019ensemble est factur\u00e9 comme une prestation de services soumise \u00e0 TVA.<\/p>\n<p><strong>6.3. Facturation.<\/strong> Sauf accord contraire, les prestations sont factur\u00e9es mensuellement, en d\u00e9but de mois. Les factures sont payables par virement bancaire dans un d\u00e9lai de trente (30) jours \u00e0 compter de leur date d\u2019\u00e9mission. Le Client peut r\u00e9gler une facture en plusieurs versements, \u00e0 condition que le solde soit pay\u00e9 \u00e0 l\u2019\u00e9ch\u00e9ance. Aucun escompte n\u2019est accord\u00e9 pour paiement anticip\u00e9.<\/p>\n<p><strong>6.4. Retard de paiement.<\/strong> Tout retard de paiement entra\u00eene de plein droit, d\u00e8s le lendemain de l\u2019\u00e9ch\u00e9ance et sans mise en demeure, des p\u00e9nalit\u00e9s de retard au taux d\u2019int\u00e9r\u00eat appliqu\u00e9 par la Banque centrale europ\u00e9enne \u00e0 son op\u00e9ration de refinancement la plus r\u00e9cente, major\u00e9 de dix (10) points, ainsi qu\u2019une indemnit\u00e9 forfaitaire pour frais de recouvrement de quarante (40) euros (article L. 441-10 du Code de commerce). En cas de retard sup\u00e9rieur \u00e0 quinze (15) jours, le Prestataire peut suspendre les campagnes en cours.<\/p>\n<h2 id=\"article-7\"><span class=\"n\">Article 7<\/span>Propri\u00e9t\u00e9 intellectuelle<\/h2>\n<p><strong>7.1. \u00c9l\u00e9ments du Client.<\/strong> Le Client reste propri\u00e9taire de ses marques, logos, visuels et contenus. Il conc\u00e8de au Prestataire, pour la dur\u00e9e des prestations, le droit de les utiliser et de les transmettre aux cr\u00e9ateurs pour r\u00e9aliser les campagnes.<\/p>\n<p><strong>7.2. Savoir-faire du Prestataire.<\/strong> Les m\u00e9thodes, outils, briefs, mod\u00e8les et savoir-faire du Prestataire restent sa propri\u00e9t\u00e9 exclusive.<\/p>\n<p><strong>7.3. Publications des cr\u00e9ateurs.<\/strong> Les droits d\u2019utilisation des publications des cr\u00e9ateurs sont d\u00e9finis entre le Prestataire et chaque cr\u00e9ateur. Toute r\u00e9utilisation de ces publications par le Client en dehors de la campagne n\u00e9cessite l\u2019accord pr\u00e9alable \u00e9crit du Prestataire.<\/p>\n<h2 id=\"article-8\"><span class=\"n\">Article 8<\/span>Donn\u00e9es personnelles<\/h2>\n<p><strong>8.1. Conformit\u00e9.<\/strong> Chaque partie respecte le r\u00e8glement g\u00e9n\u00e9ral sur la protection des donn\u00e9es (RGPD) et la loi Informatique et Libert\u00e9s.<\/p>\n<p><strong>8.2. Donn\u00e9es des cr\u00e9ateurs.<\/strong> Le Prestataire est responsable du traitement des donn\u00e9es des cr\u00e9ateurs qu\u2019il recrute et r\u00e9mun\u00e8re. Le Client est responsable du traitement des donn\u00e9es des utilisateurs de ses propres services.<\/p>\n<p><strong>8.3. Donn\u00e9es du Client.<\/strong> Lorsque le Prestataire acc\u00e8de \u00e0 des donn\u00e9es personnelles dont le Client est responsable, il agit comme sous-traitant, uniquement sur instruction du Client, et prend les mesures de s\u00e9curit\u00e9 appropri\u00e9es.<\/p>\n<h2 id=\"article-9\"><span class=\"n\">Article 9<\/span>Confidentialit\u00e9<\/h2>\n<p><strong>9.1. Principe.<\/strong> Chaque partie garde confidentielles les informations non publiques de l\u2019autre partie obtenues dans le cadre des prestations, pendant leur dur\u00e9e et trois (3) ans apr\u00e8s leur terme.<\/p>\n<p><strong>9.2. Exceptions.<\/strong> Ne constitue pas une violation de cette obligation la communication d\u2019informations, dans la stricte mesure n\u00e9cessaire, \u00e0 l\u2019expert-comptable, aux conseils juridiques, aux \u00e9tablissements bancaires et prestataires de paiement (notamment dans le cadre de leurs obligations de connaissance du client et de lutte contre le blanchiment), ainsi qu\u2019aux administrations lorsque la loi l\u2019impose.<\/p>\n<h2 id=\"article-10\"><span class=\"n\">Article 10<\/span>Responsabilit\u00e9<\/h2>\n<p><strong>10.1. Limitation de responsabilit\u00e9.<\/strong> La responsabilit\u00e9 du Prestataire ne peut \u00eatre engag\u00e9e qu\u2019en cas de faute prouv\u00e9e. Elle est limit\u00e9e aux dommages directs et plafonn\u00e9e au montant hors taxes des honoraires de conseil factur\u00e9s au Client au cours des trois (3) mois pr\u00e9c\u00e9dant le fait g\u00e9n\u00e9rateur. Les montants revers\u00e9s aux cr\u00e9ateurs n\u2019entrent pas dans ce plafond.<\/p>\n<p><strong>10.2. Plateformes.<\/strong> Le Prestataire n\u2019est pas responsable des d\u00e9cisions des r\u00e9seaux sociaux (suppression de publications, suspension de comptes, modification des algorithmes), ni des r\u00e9sultats commerciaux des campagnes.<\/p>\n<p><strong>10.3. Force majeure.<\/strong> Aucune partie n\u2019est responsable d\u2019un manquement r\u00e9sultant d\u2019un cas de force majeure au sens de l\u2019article 1218 du Code civil.<\/p>\n<h2 id=\"article-11\"><span class=\"n\">Article 11<\/span>Dur\u00e9e et r\u00e9siliation<\/h2>\n<p><strong>11.1. Dur\u00e9e.<\/strong> Les prestations ponctuelles prennent fin \u00e0 leur r\u00e9alisation. Les prestations r\u00e9currentes sont conclues pour une dur\u00e9e ind\u00e9termin\u00e9e ; chaque partie peut y mettre fin par \u00e9crit avec un pr\u00e9avis de trente (30) jours.<\/p>\n<p><strong>11.2. R\u00e9siliation pour manquement.<\/strong> En cas de manquement grave d\u2019une partie, non r\u00e9par\u00e9 quinze (15) jours apr\u00e8s une mise en demeure par lettre recommand\u00e9e ou courriel avec accus\u00e9 de r\u00e9ception, l\u2019autre partie peut r\u00e9silier de plein droit.<\/p>\n<p><strong>11.3. Effets de la fin de la relation.<\/strong> En cas de fin de la relation, le Client r\u00e8gle les prestations r\u00e9alis\u00e9es et les montants engag\u00e9s aupr\u00e8s des cr\u00e9ateurs pour des publications command\u00e9es avant la date de fin. Les articles 4.3, 4.4, 7, 8 et 9 survivent \u00e0 la fin de la relation.<\/p>\n<h2 id=\"article-12\"><span class=\"n\">Article 12<\/span>Droit applicable et litiges<\/h2>\n<p><strong>12.1. Droit applicable.<\/strong> Les pr\u00e9sentes CGV sont soumises au droit fran\u00e7ais.<\/p>\n<p><strong>12.2. R\u00e8glement des litiges.<\/strong> Les parties recherchent d\u2019abord une solution amiable. \u00c0 d\u00e9faut dans un d\u00e9lai de trente (30) jours, tout litige relatif \u00e0 leur interpr\u00e9tation ou \u00e0 leur ex\u00e9cution est soumis au Tribunal des activit\u00e9s \u00e9conomiques de Paris.<\/p>\n<p><strong>12.3. Modification des CGV.<\/strong> Le Prestataire peut modifier les CGV.
